These Terms of Service ("Terms") govern your access to and use of the Dangal Place website and application services located at dangalplace.com (the "Site"), operated by Sparrow Materials Group LLC, a Texas limited liability company, doing business as Dangal Place ("we", "us", or "our"). By accessing the Site or submitting an application, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. The Service

Dangal Place is a careers and contractor-hiring site. We operate an application intake process through which individuals may apply to be considered for contractor engagements on projects we administer. We may add, modify, suspend, or discontinue any part of the Site or the application process at any time, with or without notice.

Submitting an application does not create an employment relationship, a contractor engagement, or any other contractual obligation between you and us. Any engagement that may result from the application process will be governed by a separate written agreement between you and us.

Optional practice or coaching features, if available, are provided for preparation and feedback only. They are not used by themselves to score, rank, or make hiring or engagement decisions about you.

2. Eligibility

By using the Site, you represent that you meet the applicable minimum working age in your jurisdiction and that you have the legal capacity to agree to these Terms. The Site is offered to individuals in the Philippines, consistent with our Privacy Policy. We reserve the right to limit access to the Site to persons in any jurisdiction.

3. Your Application Materials

You represent and warrant that: (a) all information you submit through the Site is accurate, complete, and not misleading; (b) you have the right to share any materials you submit, including any resume, work samples, portfolio links, or video responses; and (c) your submissions do not infringe the intellectual property, privacy, or other rights of any third party.

By submitting an application or any materials through the Site, you grant us a worldwide, non-exclusive, royalty-free license to store, retain, reproduce, and use your application materials, video responses, and related submissions for the following purposes: evaluating and responding to your application; administering any engagement or potential engagement with you; maintaining records as described in our Privacy Policy; and improving and operating the Site and our application process. 4. Acceptable Use

Your use of the Site is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. We may remove materials, suspend your access, or take other action at our discretion if you violate the Acceptable Use Policy or these Terms.

5. Our Intellectual Property

The Site and its content, including but not limited to its software, design, text, graphics, and trademarks, belong to Sparrow Materials Group LLC and its licensors. We grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Site solely for the purpose of submitting and managing an application, as permitted by these Terms. Nothing in these Terms transfers any ownership interest in our intellectual property to you.

6. Privacy

Our Privacy Policy describes how we collect, use, and handle your personal information and is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read and understood the Privacy Policy.

7. Disclaimers

To the fullest extent permitted by applicable law, the Site and all content and services provided through it are offered "as is" and "as available," without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. We make no representations or warranties as to the accuracy or completeness of any content on the Site.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Sparrow Materials Group LLC and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Site, regardless of the form of action, will not exceed one hundred United States dollars ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Sparrow Materials Group LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your application materials or submissions; (b) your use of the Site; (c) your violation of these Terms or the Acceptable Use Policy; or (d) your violation of any applicable law or the rights of any third party.

10. Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site at any time, with or without notice and with or without cause, in our sole discretion. All provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 3, 5, 7, 8, 9, and 11.

11. Changes to These Terms

We may update or revise these Terms from time to time in our sole discretion. When we do, we will update the "Last updated" date above. Any changes are effective upon posting unless we indicate otherwise. Your continued use of the Site after the posting of revised Terms constitutes your acceptance of the changes.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, seated in Texas, on an individual basis only. You and Sparrow Materials Group LLC each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Texas for matters involving intellectual property rights or unauthorized use of the Site.
